These Terms constitute a legally binding agreement between you (or the company you represent) and DeadLeadCo, Inc. ("we", "us", or "our"). By creating an account, you confirm that you have the authority to enter into this agreement.
DeadLeadCo is a SaaS platform that uses artificial intelligence to identify stale CRM leads and generate personalised re-engagement email drafts. The Service integrates with third-party platforms including HubSpot to read lead data and surface re-engagement opportunities.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

You retain all ownership rights to the data you bring into the Service, including your CRM contacts and email content. You grant us a limited, non-exclusive licence to process your data solely to provide the Service as described in our Privacy Policy.
You are responsible for ensuring you have the right to share any data you provide, and that doing so complies with applicable data protection laws. You must not input data that you are not authorised to process.
Upon account termination, we will delete your data within 30 days in accordance with our Privacy Policy.
The Service, including its software, design, trademarks, and content (excluding your data), is owned by DeadLeadCo, Inc. and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it as described here.
AI-generated email drafts produced by the Service are provided to you for your use. You own the final emails you send; we make no claim to them.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. AI-generated email content is provided as a draft for your review — we do not guarantee its accuracy, effectiveness, or suitability. You are responsible for reviewing all content before sending.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEADLEADCO, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
Either party may terminate this agreement at any time. You may close your account from the Settings page. We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent or illegal activity, or if required by law.
Upon termination, your right to use the Service ceases. Sections covering intellectual property, disclaimers, limitation of liability, and governing law survive termination.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.
Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
