These terms govern your access to and use of DeadLeadCo. Please read them carefully before using the service.

1Acceptance of Terms

By accessing or using DeadLeadCo ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you (or the company you represent) and DeadLeadCo, Inc. ("we", "us", or "our"). By creating an account, you confirm that you have the authority to enter into this agreement.

2Description of Service

DeadLeadCo is a SaaS platform that uses artificial intelligence to identify stale CRM leads and generate personalised re-engagement email drafts. The Service integrates with third-party platforms including HubSpot to read lead data and surface re-engagement opportunities.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

3Accounts & Registration

Eligibility: You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service.

Accurate information: You agree to provide accurate, current, and complete information during registration and to keep it up to date.

Account security: You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at hello@deadleadco.com of any unauthorised use.

One account per user: Each account is for a single user or organisation. You may not share login credentials or allow multiple people to access the Service under a single account unless explicitly permitted by your plan.

4Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Spam or unsolicited messages: Use the Service to send bulk unsolicited communications, violate CAN-SPAM, CASL, GDPR, or any other anti-spam legislation.

Illegal activity: Use the Service for any unlawful purpose, including but not limited to fraud, phishing, harassment, or distributing malware.

Abuse of third-party services: Violate the terms of service of HubSpot, Google, or any other third-party platform connected to the Service.

Reverse engineering: Attempt to reverse engineer, decompile, disassemble, or derive source code from any part of the Service.

Circumvention: Attempt to bypass, disable, or interfere with any security, rate-limiting, or access-control feature of the Service.

Resale without authorisation: Resell, sublicense, or otherwise commercially exploit the Service without our prior written consent.

We reserve the right to suspend or terminate accounts that violate these provisions.

5Subscriptions & Billing

Paid plans: Access to certain features requires a paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually) via Stripe.

Free trial: If we offer a free trial, it will be stated at sign-up. At the end of the trial your account will be downgraded or you will be prompted to subscribe.

Cancellation: You may cancel your subscription at any time from the Billing settings page. Cancellation takes effect at the end of the current billing period — you retain access until then.

Refunds: We do not offer refunds for partial periods. If you believe you were charged in error, contact us within 30 days at hello@deadleadco.com and we will review your case.

Price changes: We may change subscription prices with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.

6Your Data

You retain all ownership rights to the data you bring into the Service, including your CRM contacts and email content. You grant us a limited, non-exclusive licence to process your data solely to provide the Service as described in our Privacy Policy.

You are responsible for ensuring you have the right to share any data you provide, and that doing so complies with applicable data protection laws. You must not input data that you are not authorised to process.

Upon account termination, we will delete your data within 30 days in accordance with our Privacy Policy.

7Intellectual Property

The Service, including its software, design, trademarks, and content (excluding your data), is owned by DeadLeadCo, Inc. and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it as described here.

AI-generated email drafts produced by the Service are provided to you for your use. You own the final emails you send; we make no claim to them.

8Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. AI-generated email content is provided as a draft for your review — we do not guarantee its accuracy, effectiveness, or suitability. You are responsible for reviewing all content before sending.

9Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEADLEADCO, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10Termination

Either party may terminate this agreement at any time. You may close your account from the Settings page. We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent or illegal activity, or if required by law.

Upon termination, your right to use the Service ceases. Sections covering intellectual property, disclaimers, limitation of liability, and governing law survive termination.

11Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
